Standard Terms of Service

Last updated: August 2026. Rizzo Technology Solutions LLC may update these Standard Terms from time to time; the version in effect on your Agreement's Effective Date governs that engagement.

1. Warranty & Limitation of Liability

RTS will perform services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in your Service Agreement, deliverables are provided “as is.” RTS's total liability under a Service Agreement, whether in contract, tort, or otherwise, will not exceed the total fees actually paid by Client under that Agreement. RTS is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business, arising out of or related to the Agreement.

2. Confidentiality

Each Party agrees to keep confidential any non-public business information disclosed by the other Party in connection with a Service Agreement, and to use that information solely to perform its obligations under the Agreement.

3. Governing Law

Every Service Agreement is governed by the laws of the State of Nebraska, without regard to its conflict-of-law principles.

4. Entire Agreement

A signed Service Agreement, together with these Standard Terms, any attached Statement of Work or Exhibit, and any signed change orders, constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior discussions, proposals, or agreements, written or oral, relating to the same subject matter. It may only be amended in writing signed by both Parties.
